Definitions
a. "Affiliate Program" refers to the program through which the Influencer promotes and sells in-game valuables using their personal affiliate link.
b. "Intra-Project Values " refers to the digital items, virtual currency, and other assets offered on https://store.pixelgun3d.com/.
c. "Affiliate Link" refers to the unique URL provided to the Influencer for the purpose of tracking and attributing sales generated through their promotional efforts.
d. "Artwork" refers to any result of intellectual activity owned by the Publisher and related to the world of Pixel Gun 3D. This includes but is not limited to, asset packs containing Pixel Gun 3D (PG3D) artwork that has been specifically submitted to the Influencer for the purposes of this Affiliate Program.
Influencer Participation
- Influencer Acceptance: Influencer agrees to abide by the terms and conditions of this Affiliate Program, TERMS OF SERVICE, Xsolla Referral Agreement, Xsolla Terms of Use, and Xsolla Privacy Policy by participating in the Affiliate Program.
- Compliance: Influencer agrees to comply with all applicable laws, regulations, and ethical guidelines while promoting the In-Game Valuables. Influencer shall not engage in any illegal, misleading, or unethical promotional activities.
Commission Structure
- Commission Percentage: The commission percentage for each sale made through the Influencer's personal link shall be determined by the Xsolla Referral Agreement. The main conditions and commission rates will be governed by the Xsolla Referral Agreement.
- Calculation and Payment: Influencer commissions will be calculated based on the net sales generated through the Influencer's personal link, excluding any taxes, refunds, chargebacks, or shipping fees. Payments will be made according to the payment policy specified in the Xsolla Referral Agreement.
Tracking and Reporting
Influencer Dashboard: Xsolla will provide Influencer with access to a personalized dashboard within the Xsolla referral program, where they can track their clicks, conversions, and earnings in real-time.
Grant of Artwork Usage Rights:
- The Publisher hereby grants the Influencer a non-exclusive, revocable right to use the Artwork provided by the Publisher, solely for the purpose of designing the Influencer's channel and fulfilling obligations under the Affiliate Program.
- The Influencer acknowledges that the Publisher retains all ownership and intellectual property rights to the Artwork and that this Affiliate Program or Xsolla Referral Agreement does not transfer any ownership or intellectual property rights to the Influencer.
Compliance with Fan Content Policy:
- The Influencer agrees to comply with the Fan Content Policy set forth by the Publisher when using the Artwork. The Influencer shall ensure that the Artwork is used in accordance with the guidelines provided by the Publisher.
- The Publisher reserves the right to revoke the Influencer's right to use the Artwork at any time if the Influencer fails to comply with the Fan Content Policy or breaches any of the terms outlined in this Affiliate Program or Xsolla Referral Agreement.
Copyright and Intellectual Property:
- The Influencer acknowledges that all copyrights and intellectual property rights related to the Artwork, including any derivative works created by the Influencer, are the sole and exclusive property of the Publisher.
- The Influencer shall not claim ownership or authorship of the Artwork or attempt to register any copyrights or intellectual property rights related to the Artwork.
- The Influencer agrees to indemnify, defend, and hold harmless the Publisher, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses arising out of or in connection with the Influencer's use of the Artwork.
Termination
Termination: Either party may terminate this Affiliate Program at any time for any reason by providing written notice to the other party. The Publisher may terminate the Affiliate Program at any time.
Upon termination, the Influencer shall immediately cease using the Artwork and remove any instances of the Artwork from their channel.
Commission Payment: In the event of termination, Influencer will receive any unpaid commissions earned up to the date of termination, subject to compliance with the terms and conditions of the Xsolla Referral Agreement.
Relationship of Parties
Independent Contractors: Publisher and Influencer are independent contractors, and nothing in this Affiliate Program or Xsolla Referral Agreement shall create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.
No Authority: Influencer has no authority to bind Publisher or make any representations on behalf of Publisher without prior written consent.
